ABOUT THE TEAM


The M&A Tax Group is part of the Global Tax Team of the SAP Group. The evaluation of M&A tax strategies, the mitigation of tax risks in M&A contracts, as well as the post-acquisition legal integration process and tax planning strategies are key tasks of the M&A Tax Group. The Senior Tax Specialist M&A Tax will be dealing with complex tax matters within such task framework and will be reporting to the Head of M&A Tax. This position does not include personnel responsibilities. 

 

YOUR FUTURE ROLE

 

  • Providing tax advice in the field of national and international M&A activities (e.g. acquisitions, divestitures, Joint Ventures) – including tax due diligence (’TDD’) support, initiation of measures for risk reduction and consideration of group tax accounting aspects
  • Providing tax advice in the field of post-merger integration (‘PMI’) processes or SAP group-internal restructurings (including IP consolidation projects, business model changes etc.)
  • PMI/Legal entity consolidation planning in conjunction with other SAP tax / finance functions and driving such projects for execution
  • Internal and external contact for international tax projects and M&A activities at SAP (including coordination / managing of external tax advisors) – interface function to steer TDD and PMI follow-up activities appropriately within SAP
  • Assistance regarding M&A transactions in the tax field audit cycle 
  • Preparation of tax opinions for cross-border transactions in the field of M&A or tax planning activities
  • Supporting SAP’s private equity / venture capital activities from an international tax perspective

 

YOUR PROFILE

 

Required skills

 

  • Certified German Tax Advisor or comparable qualification 
  • University degree (or comparable) in business studies
  • A positive Team player with good interpersonal and high communication skills
  • Experience/Specialization in international M&A tax matters
  • Fluent in English and German
  • Several years working experience in an international tax consulting firm or tax function of a multinational company with a focus on international M&A tax matters.

 

Preferred skills

 

  • Familiarity with (group) tax accounting (IFRS/German GAAP)
  • Experienced contributor to Corporate / M&A tax projects in an industrial environment
  • Solid expertise in international taxation including transfer pricing and financing aspects
  • Familiarity with business valuations around corporate restructuring projects
  • Interested in innovation and technology (e.g. SAP solutions)
